Effective date: [EFFECTIVE DATE] · Issued by [LEGAL ENTITY NAME]
These terms govern business use of AI Command provided by [LEGAL ENTITY NAME]. The service is intended for organisations and their authorised users, not consumer use.
An authorised representative must accept these terms for the customer organisation. A separately signed order or master services agreement prevails where it expressly conflicts.
The service may connect to authorised Microsoft 365 tenants to show licence assignments, commitments, indicative prices, adoption information, recommendations and reports. Available features depend on subscription, permissions and integration availability.
Recommendations are informational estimates, not binding quotes, guaranteed savings or instructions to cancel or upgrade a subscription. Verify billing, renewal and cancellation rules with the relevant licence supplier before acting.
The customer is responsible for its account administrators, lawful access to connected tenants, permissions granted, accuracy of supplied information and any decisions or changes it makes to subscriptions.
Customers must maintain appropriate Microsoft licensing and comply with the Microsoft and other third-party terms that apply to their environment.
Users must protect their credentials and notify us promptly of suspected compromise. The customer controls which personnel may access its workspace. We may suspend access to address material security risks or unlawful activity, where reasonably necessary.
Fees, taxes, payment terms, subscription renewal, trial periods, cancellation notice and refunds must be stated in the applicable order or published pricing schedule. Do not rely on this clause alone if charging customers.
Any change to charges or subscription terms will be communicated as required by the applicable agreement and law.
We aim to provide a reliable service but do not guarantee uninterrupted access. Planned maintenance, third-party outages and Microsoft API changes can affect functionality. Material changes will be communicated reasonably in advance where practicable.
We and our licensors retain rights in the service, code, designs and documentation. The customer retains rights in its data. The customer grants us only the rights needed to provide and secure the service.
Each party must protect the other’s confidential information using reasonable care, subject to customary exceptions and lawful disclosures.
Our privacy notice describes controller processing. Where we process personal data for the customer as processor, the data processing agreement applies.
Nothing in these terms excludes liability that cannot lawfully be excluded, including fraud, fraudulent misrepresentation or death or personal injury caused by negligence.
Legal review required: insert a negotiated, enforceable liability cap and appropriate exclusions tailored to your pricing, customer profile and insurance. No limitation is specified in this draft.
Either party may terminate for material breach not remedied within an agreed cure period, subject to the applicable order. On termination, access ends and customer data is handled under the data processing agreement.
Legal review required: confirm notice periods, payment on termination, export rights and post-termination assistance.
Unless an agreed order states otherwise, these terms are governed by the laws of England and Wales, with the courts of England and Wales having jurisdiction, subject to mandatory law.
